  • Jentayu Shareholder Requests EGM Delay as Court Case Looms

    A shareholder of Jentayu Sustainables Berhad has taken legal action to halt the company’s upcoming Extraordinary General Meeting (EGM), scheduled for 4 December 2025. In a lawsuit filed on 28 November 2025, the shareholder, Andy Lai Wee Young, is seeking to postpone the meeting on grounds that its legality — along with several proposed corporate exercises — is in question. According to a press statement from his solicitors, Mak LK & Co, Lai, who owns 1,361,000 shares in the company, filed an Originating Summons (OS) and an injunction application to restrain Jentayu from convening the “postponed” EGM or acting on any resolutions that may arise from it. The High Court has fixed the hearing for the injunction on 5 December 2025.

    Central to Lai’s legal challenge is the company’s decision to delay the EGM from its original date of 22 October 2025 to 4 December 2025. Court filings reveal that Lai disputes the board’s authority to postpone the meeting, arguing that Jentayu’s Constitution — specifically Articles 70 and 71 — does not empower directors to change the date once the notice has been issued. He contends that an adjournment can only occur after the meeting has convened and with shareholders’ consent. Since no meeting took place on 22 October, Lai maintains that the company’s decision to set a new date is invalid.

    The lawsuit also raises questions about inconsistencies involving the proxy documents and the record of depositors (ROD) date. The proxy form issued with the original notice dated 3 September 2025 referred to an ROD date of 16 October 2025. However, the rescheduled meeting uses a different ROD date — 27 November 2025 — which Lai argues could place Jentayu in breach of Bursa Malaysia’s Listing Requirements. He further highlights the company’s failure to clarify whether mandatory inspection documents, as outlined in the shareholder circular, remain accessible to shareholders until the new meeting date, potentially representing another compliance issue.

    Lai additionally criticizes Jentayu for not announcing the litigation to Bursa Malaysia despite its material impact, pointing to Paragraph 9.03 of the Listing Requirements, which mandates prompt disclosure of significant legal proceedings. He argues that shareholders and the market deserved timely notification once the suit was filed and case management began.

    Beyond the meeting date itself, Lai’s legal action challenges the validity of key resolutions to be tabled at the 4 December EGM, should it proceed. These include a proposed private placement of up to 20% of the company’s issued shares, an acquisition of equity in Jentayu Solar Sdn Bhd, and a variation in the utilization of proceeds from the company’s 2022 rights issue. Lai asserts that the disputed EGM cannot serve as a legitimate platform for decisions involving major corporate exercises, especially when he believes critical information has not been adequately disclosed.

    In view of these concerns, Lai is calling for the EGM to be deferred until the High Court reaches a decision. He argues that proceeding with the meeting amid ongoing litigation and alleged procedural irregularities would undermine corporate governance standards, compromise shareholder rights, and expose the company to additional legal complications. His legal action, he says, reflects a commitment to promoting transparency, ensuring compliance with regulatory requirements, and safeguarding the interests of all Jentayu shareholders.

    Makan Bijak Bersama Ayam Brand™ 2025 terus memperkukuh peranannya sebagai program pendidikan pemakanan dan seni yang berimpak tinggi apabila edisi terbaharunya berjaya melibatkan lebih 6,300 murid sekolah rendah dari Selangor, Kuala Lumpur dan Putrajaya. Berlandaskan pemahaman bahawa pemakanan seimbang memainkan peranan penting dalam perkembangan fizikal dan kognitif kanak-kanak, program ini menggabungkan ceramah nutrisi dengan aktiviti seni kreatif untuk memupuk gaya hidup sihat serta ekspresi kendiri dalam kalangan generasi muda. Hidangan berkhasiat bukan sahaja membantu menguatkan tubuh badan dan meningkatkan daya tumpuan, tetapi turut memberi tenaga berpanjangan bagi menyokong pembelajaran yang aktif dan kreatif. Pada masa yang sama, seni memberikan ruang penting untuk murid mengasah imaginasi, empati dan emosi, sambil menzahirkan pengetahuan serta pengalaman mereka melalui kreativiti.

    Inisiatif yang berlangsung sepanjang tahun 2025 ini adalah hasil kerjasama Ayam Brand™, Kementerian Pendidikan Malaysia serta Jabatan Pendidikan Negeri Selangor, Kuala Lumpur dan Putrajaya. Program ini merangkumi tiga komponen utama — Sesi Ceramah Pemakanan, Pertandingan Seni Individu dan Pertandingan Mural Antara Sekolah. Setiap komponen direka bagi memastikan murid dapat memahami konsep pemakanan sihat secara menyeluruh, sambil mengaplikasikannya melalui seni yang dekat dengan dunia mereka. Menurut Teoh Wei Ling, Ketua Pemasaran A Clouet (Malaysia) Sdn. Bhd., apabila pemakanan baik digabungkan dengan seni, murid bukan sahaja memahami manfaat gaya hidup sihat, tetapi juga belajar mengekspresikan diri dengan lebih yakin dan kreatif. Ini sekaligus menjadikan amalan pemakanan sihat lebih menyeronokkan, relevan dan mudah difahami.

    Sesi Ceramah Pemakanan yang diadakan antara Julai hingga September 2025 memberi pendedahan kepada murid tentang konsep Pinggan Sihat Malaysia, kaedah menyediakan bekal sihat serta kepentingan kehidupan aktif. Untuk mengukuhkan pengalaman pembelajaran, Ayam Brand™ turut mengagihkan pek hadiah berisi produk seperti Santan Kelapa dan Ayam Carik Mayones yang mudah digunakan untuk menyediakan hidangan berkhasiat di rumah. Seramai 150 murid menyertai Pertandingan Seni Individu di mana karya mereka dinilai berdasarkan kreativiti, mesej dan tarikan visual. Nur Zara Afina binti Zamzairil dari SK Desa Tun Hussein Onn memenangi tempat pertama dengan hadiah RM2,000, diikuti Siti Nur Shakirah binti Saari dan Nur Qisya Adelia Mohd Fairuz Azhar sebagai pemenang tempat kedua dan ketiga.

    Kemuncak program ini diserikan dengan Pertandingan Mural Antara Sekolah yang berjaya mengubah dinding sekolah menjadi kanvas besar sarat mesej kesihatan, kerjasama dan imaginasi. Sebanyak 30 pasukan, terdiri daripada lima murid dan seorang guru penyelia, berganding bahu menzahirkan tema “Gaya Hidup Sihat dan Ceria bersama Ayam Brand™” melalui seni mural. Karya dinilai berdasarkan kreativiti, mesej, ketepatan tema serta penglibatan media sosial. SK Desa Tun Hussein Onn muncul juara dan membawa pulang RM4,000 serta trofi, diikuti SK (1) Selayang Baru dan SK Dusun Tua sebagai pemenang tempat kedua dan ketiga. Dua sekolah lain, iaitu SK Taman Seri Gombak 2 dan SK Seri Tasik, menerima hadiah saguhati. Murid seperti Alya Hani, 11 tahun, turut berkongsi pengalaman bagaimana pemakanan sihat menjadikan mereka lebih bertenaga untuk berkarya dan bermain, sekali gus membuktikan kesan positif program ini terhadap pembelajaran holistik.

    Majlis penyampaian hadiah yang berlangsung dari 24 hingga 26 November 2025 disempurnakan bersama wakil Jabatan Pendidikan Negeri. Encik Muslim bin Mustafa, Ketua Penolong Pengarah Kanan di Jabatan Pendidikan Wilayah Persekutuan Kuala Lumpur, menyifatkan inisiatif ini sebagai contoh terbaik pembelajaran melalui pengalaman kerana menghubungkan seni, nutrisi dan nilai murni yang memberi keyakinan kepada murid untuk mengekspresikan diri secara kreatif. Secara keseluruhannya, “Makan Bijak Bersama Ayam Brand™ 2025” bukan sekadar satu pertandingan atau kempen kesihatan. Ia merupakan platform pendidikan menyeluruh yang menyatukan komuniti sekolah, membina kefahaman tentang pemakanan sihat serta menyemarakkan kreativiti dalam kalangan murid. Program ini terus membuktikan komitmen Ayam Brand™ — sejak 1892 — dalam menyokong kesejahteraan masyarakat melalui makanan berkualiti, bahan semula jadi tanpa bahan pengawet serta promosi gaya hidup sihat yang memberi manfaat berpanjangan kepada generasi muda.

    Payments Network Malaysia Sdn. Bhd. (PayNet) has introduced a refreshed design for the DuitNow QR standee, marking a nationwide rollout aimed at improving the visibility and consistency of Malaysia’s national QR standard. The updated look ensures that DuitNow QR is now easier to spot at merchant locations, creating a more seamless and intuitive payment experience for both consumers and businesses. Importantly, this enhancement is purely visual — the functionality, security, and interoperability of DuitNow QR remain unchanged. Consumers can continue making payments as usual, while merchants can accept transactions with the same simplicity and reliability they are accustomed to.

    The visual refresh addresses longstanding inconsistencies caused by multiple standee designs previously issued by different banks and e-wallets. These variations often led to confusion at the point of sale. The newly standardized design resolves this by presenting a unified, clearer way of displaying DuitNow QR, firmly positioning it as Malaysia’s official QR payment method. The result is a cleaner, more uniform standee that reinforces consumer confidence and helps businesses present a professional, standardized payment touchpoint.

    Gary Yeoh, Chief Marketing Officer of PayNet, emphasized the importance of clarity as digital payments continue to embed themselves in Malaysians’ daily lives. “As digital payments become second nature for Malaysians, the trust and clarity of what people are scanning matters more than ever,” he said. “The refreshed DuitNow QR standee brings greater consistency and visibility across the country, ensuring consumers always know they are paying through Malaysia’s official and secure QR standard, while making it simpler for merchants to display and accept payments through just one QR code.”

    The rollout of the new standee began in October 2025, with early adopters such as RHB Bank, Bank Islam Malaysia Berhad, MBSB Bank, and Agrobank leading the transition among their merchant networks. A second wave—comprising CIMB Bank, Public Bank, Hong Leong Bank, AmBank, Bank Simpanan Nasional, and Bank Muamalat—will follow, with the rest of the ecosystem gradually coming on board. Merchants are encouraged to adopt the updated design as soon as their acquiring banks make it available to ensure smoother alignment across the payment landscape.

    This refreshed design underpins PayNet’s broader commitment to strengthening Malaysia’s cashless ecosystem. By making DuitNow QR more recognizable and consistent, the initiative reinforces its role as the nation’s single QR standard and supports the national agenda of driving an inclusive and progressive digital economy for all Malaysians.
